Terms & Conditions

1. Scope

These terms and conditions apply to both the provision of services and the sale of goods.

2. Acceptance

By completing the order form or placing an assignment, the customer is deemed to have accepted these Terms & Conditions.

3. Payment & lump‑sum compensation for late payment

If full payment is not received within 30 calendar days (plus three working days if not via electronic means) after the first payment reminder is sent, a lump‑sum compensation becomes due by operation of law and without formal notice, as follows:

4. Interest on arrears

Where full payment is not made within 30 calendar days (plus three working days if not via electronic means) after the first payment reminder, the customer shall, by operation of law and without formal notice, owe interest at the statutory rate applicable to late payment in commercial transactions, in accordance with Article 5(2) of the Belgian Act of 2 August 2002 on combating late payment in commercial transactions. Interest is calculated on the outstanding amount.

5. Retention of title & transfer of risk

Delivered goods and services remain the property of the supplier until paid in full. However, all risks related to the goods and services pass to the purchaser at the moment of delivery.

6. Complaints

Any complaints must be submitted by the customer within 8 days from the invoice date.

7. Jurisdiction

In case of dispute, only the competent courts of the relevant jurisdiction shall have authority.

8. Suspension & termination

If the customer fails to comply with their obligations (including payment) in due time, the supplier is entitled to suspend further deliveries and services and to consider the agreement terminated by operation of law and without formal notice.

9. Prices & quotations

All prices are exclusive of VAT unless otherwise stated. Quotations remain valid for thirty (30) days from the date of issue unless otherwise agreed.

10. Liability

JGY‑Projects shall only be liable for direct damage resulting from proven fault and limited to the amount of the relevant invoice. Indirect damage, consequential loss or loss of profit is excluded.

11. Force majeure

In case of force majeure or circumstances beyond the control of JGY‑Projects, obligations are temporarily suspended without any right to compensation for the client. If the situation persists for more than sixty (60) days, either party may terminate the agreement without judicial intervention.

12. Intellectual property

All documents, plans, designs, visuals and technical deliverables remain the intellectual property of JGY‑Projects unless agreed otherwise in writing. Reproduction or distribution is permitted only with written consent.

13. Governing law

This agreement shall be governed exclusively by Belgian law.
